Terms of Use
Version: 10 September 2026
These terms govern registration for and use of Niki’s web and desktop applications. Please read them before creating an account. You can save or print this page for your records.
1. Provider and scope
Niki is provided by Xaver Drabik, Malfattigasse 1–5/4/10, 1120 Vienna, Austria. General enquiries: [email protected]; service and contract enquiries: [email protected]. These terms apply to your Niki account and use of the service. The plan and order details presented when you purchase a subscription also apply. Individually agreed terms take precedence over these standard terms. Mandatory statutory rights remain unaffected.
2. Registration and workspace access
Provide accurate account information, verify your email when requested and protect your login credentials. Use your own account and notify support promptly if you suspect unauthorised access. If you act for an organisation, you must have authority to do so. Workspace administrators manage membership and permissions; billing owners and authorised billing administrators manage subscriptions. Creating an account does not by itself purchase a paid subscription. A paid order requires a separate checkout and payment confirmation.
3. What Niki provides
Niki is an AI workspace for conversations, research, files, saved agents, connected services and requested tasks. Available features, seats, model allowance and plugin access depend on the selected plan and workspace settings. Computer use, when available, consumes the managed-model allowance. Service access requires a compatible device, internet connection and any accounts needed for connected services. Maintenance, security work and third-party outages can interrupt availability. Any separately agreed service levels apply; these terms do not promise uninterrupted availability or a particular business result.
4. AI output and authorised actions
AI output can be incomplete, inaccurate or unsuitable for your circumstances. Review factual claims, calculations and proposed actions before relying on them, particularly for medical, legal, financial or other consequential decisions. Niki does not replace qualified professional advice. Only instruct Niki to access data or perform actions that you are authorised to request. Check the scope and consequences of approvals for actions such as sending messages, changing records or using connected accounts. Your instructions do not grant rights over another person’s data or systems.
5. Acceptable use
Use Niki lawfully and respect other people’s rights. Do not use it for fraud, unlawful discrimination, harassment, infringement of intellectual property or privacy, distribution of malware, or unauthorised access to systems. Do not bypass access controls, seat restrictions or usage limits, interfere with service operation, or attempt to access another workspace’s data. Security testing requires prior authorisation for its scope. Report suspected vulnerabilities to support without accessing or disclosing other users’ information.
6. Your content and connected services
You retain your existing rights in the content you provide. You grant Niki only the permissions needed to store, process and transmit that content to provide the service and carry out your authorised requests. Ensure that you have the necessary rights and permissions for uploaded or retrieved material. AI output may resemble other output and may not qualify for exclusive intellectual-property protection. Niki’s software, branding and other protected materials remain subject to their owners’ rights. Connected services have their own terms and availability; connecting one authorises access within the permissions you grant. The Privacy Policy explains personal-data processing. Where Niki processes an organisation’s personal data on its behalf, the required data-processing agreement must also be in place.
7. Plans, payments and renewal
The selected checkout states the subscription price, applicable taxes, billing period and seat quantity before you place a paid order. Payment is processed through Polar. Subscriptions renew for the selected monthly or annual period unless cancelled in time through Billing or the linked customer portal. Different seat tiers can have separate subscriptions and renewal dates. Seat increases are charged with proration for the remaining period; reductions take effect at renewal and do not automatically produce a partial refund. Plan limits and allowance periods are shown in the service. A failed renewal currently retains full access for 14 days before the affected access becomes read-only. Any statutory rights to refunds or other remedies take precedence.
8. Cancellation and money-back guarantee
Manage renewal cancellation in Billing or the linked customer portal; contact support if you cannot access those controls. Cancellation normally ends the relevant subscription at the end of its paid period. Deleting the desktop app or closing a browser tab does not cancel a subscription. The hosted service offers a full-refund guarantee when claimed within 14 days after the workspace becomes ready; use the guarantee action in Billing or contact support. A guarantee refund ends paid access and starts the applicable retention period. This commercial guarantee is additional to statutory withdrawal, warranty and refund rights.
9. Consumer withdrawal
If you are a consumer purchasing remotely, you generally have 14 days from contract conclusion to withdraw without giving a reason. Send an unambiguous statement to [email protected] or the postal address above before the deadline. We refund payments due within 14 days of notification, using the original payment method unless agreed otherwise. Payment for services already supplied is due only where statutory conditions are met, including an express request to start early. Accepting these terms does not itself request early performance or waive withdrawal rights.
10. Restrictions, termination and data
We may restrict access where reasonably necessary to address a security threat, unlawful use, a material breach of these terms or a legal obligation. Restrictions must be proportionate. Where lawful and practical, we will explain the reason and allow an opportunity to remedy a breach; urgent protective action may be immediate. Contact support to challenge a restriction. Both parties retain statutory rights to terminate for good cause. After paid access and any applicable grace period end, hosted workspace data has a 30-day online retention period before scheduled deletion. Save the information you need before that period ends and contact support about data-return requests. Billing records, backups and other retained data are addressed in the Privacy Policy and applicable agreements.
11. Defects and liability
Please report service defects to support with enough information for us to investigate. Statutory rights concerning defective digital services, including correction, price reduction, termination and damages where applicable, remain available. Liability is governed by applicable law. These terms do not exclude liability for intentional misconduct, gross negligence, personal injury or any other liability that cannot lawfully be excluded. The explanation of AI limitations does not remove those rights or excuse a failure to provide the agreed service.
12. Changes and applicable law
We will communicate proposed material changes to these terms before they take effect, explaining their scope and effective date. Where your agreement is required, we will ask for it; silence or continued use alone is not blanket acceptance. Changes do not retrospectively alter a completed purchase. Austrian law applies, without depriving consumers of mandatory protections under the law of their habitual residence where applicable. Jurisdiction follows the applicable statutory rules. Both the German and English versions are intended to have the same meaning. Contact support if you identify a discrepancy or have a complaint.
